("Quizz Room") is a corporation incorporated in the Quebec Business Registry under NEQ 1179061065, with its registered office located at 210-154 Laurier Ave W, Montreal (H2T 2N7). Quizz Room offers for sale on its website (the "Site") the provision of services ("Services") related to the reservation of leisure rooms ("Rooms") in order to conclude sales contracts ("Contracts") with a buyer ("Customer") under which Quizz Room makes one or more Rooms available to participants in leisure activities ("Participants"). If participating in leisure activities, the Customer is deemed a Participant. The Services are available in Quebec.

PURPOSE
These General Terms and Conditions of Sale ("General Conditions" or "GTC") aim to define the rights and obligations of the Customer and Quizz Room under the Contracts:

• These General Conditions may be modified at any time by Quizz Room;
• When required, Quizz Room will notify Customers by email 30 days before the modifications take effect;
• They apply from their online posting but their possible modifications will not apply to transactions already in progress at the time of posting these modifications;
• The use of the Site by the Customer after modifications means that the Customer consents to comply with and be legally bound by the modified General Conditions. Quizz Room will inform Customers of any changes to these General Conditions 30 days in advance;
• If the Customer does not accept these General Conditions, or as the case may be, the General Conditions as modified, they must not use the Site or procure Services. They will have up to 30 days after the modifications come into effect to send a notification to this effect to Quizz Room;

The last revision of the GTC was carried out on ________________.

• The General Conditions are accessible on the Site and in all Quizz Room establishments. Subject to any specific conditions applicable to a specific type of Services specified distinctly and prior to the conclusion of any Contract, the GTC applies to the exclusion of all other conditions.

AUTHORIZATION TO USE ELECTRONIC DOCUMENTS

You hereby authorize the exchange of documents and information between you and Quizz Room on the Internet by email or by phone. You agree that this Contract is equivalent to an original written Contract between you and Quizz Room. You also agree that all agreements, notifications, information, and other communications that we provide to you electronically satisfy any legal requirement in this regard.

OTHER DOCUMENTS, AGREEMENTS, AND POLICIES

The use of the Site as well as Quizz Room's Services are governed by various policies, including the Site's Terms of Use and the Privacy Policy ("Other Policies"). You declare having read the Other Policies and agree to be bound by their terms and conditions.

Despite the foregoing, the provisions of the General Conditions take precedence over the provisions of the Other Policies. In case of incompatibility between the provisions of the General Conditions and those of the Other Policies, the provisions of the General Conditions will apply.

PRE-CONTRACTUAL INFORMATION
The Customer acknowledges having read the General Conditions as well as all the information they contain, having accepted them before validating any order, and that these are binding on them in accordance with Article 1434 of the Civil Code of Quebec.

QUIZZ ROOM SERVICES
At the available reservation times and depending on the number of Participants indicated by the Customer, Quizz Room offers for sale reservation services and the provision of one or more Rooms including the ability to use a question and answer game whose characteristics are as follows:

• audiovisual communication of questions to the Participants;
• provision of a buzzer allowing Participants to individually or collectively respond to questions;
• automatic counting of each Participant's points;

multiple game mechanics belonging to Quizz Room and which may change over time.

• The use of the leisure Room's equipment is conditioned on the presence of at least four (4) Participants, without exceeding eighteen (18).

In addition to the reservation and provision of Rooms, Quizz Room may perform a customization service for ten (10) questions ("Customized Questions"):

• ordering the Customized Questions service requires the Customer to communicate said questions to Quizz Room no later than three (3) days before the provision of the reserved Room(s), following instructions that Quizz Room will communicate via a specific email for this purpose;
• Quizz Room reproduces and communicates to all Participants the content of the Customized Questions as provided by the Customer or Participants;

to be broadcasted in the Room, the content of the Customized Questions communicated to Quizz Room must not be manifestly illegal or infringe on good morals.

• Upon express request from the Customer and prior to the conclusion of any Contract, they may contact Quizz Room to order the provision of additional personalized services, which will be subject to a quote issued by Quizz Room.

PRICING OF SERVICES
All prices are, unless otherwise indicated, in Canadian dollars (CAD). Prices displayed on the Site do not include applicable taxes. Any creation or modification of taxes, regardless of their nature or amount, will be applied to the Contracts, including for ongoing orders, as soon as they come into effect.
The price of the Services offered for sale on the Site is freely set by Quizz Room in compliance with applicable laws and regulations.
Quizz Room reserves the right to modify its prices at any time but commits to applying the rates in force indicated at the time of the order for Services ("Order") provided they are available on that date.
The price of the Services is not negotiable by the Customer.
The price per Participant included in an Order is set based on the total number of Participants:

• thirty dollars ($30.00) per Participant when the total number of Participants is between four (4) and six (6);
• twenty-seven dollars ($27.00) per Participant when the total number of Participants is between six (6) and eight (8);
• twenty-five dollars ($25.00) per Participant when the number of Participants is between nine (9) and eighteen (18);
• the presence of a number of Participants higher than initially indicated in the Order made by the Customer will result in the payment on-site and by credit card of an additional price per Participant according to the pricing grid shown above.
  The price of the Customized Questions service is set at forty dollars ($40.00) when the number of Participants does not exceed six (6) and at the rate of sixty dollars ($60.00) when the number of Participants is between seven (7) and eighteen (18).

ORDERING SERVICES
The Order is made on the Site within the limit of available Rooms.
After selecting the number of Participants as well as the desired date and time of reservation, the Customer clicks on the ‘Reserve’ tab. The Customer then has the option to select additional service offerings from a list provided.
The Customer identifies themselves to Quizz Room by providing their first name, last name, email, and phone number. Quizz Room commits to processing the personal data of Customers in compliance with its privacy policy. The Customer may also identify themselves via a simplified procedure using their Facebook account. If the Customer chooses to identify themselves through this method, the Customer agrees to be aware of Facebook's privacy policy.
After reviewing the summary of their Order as well as the GTC, which they accept by clicking in the indicated area, the Customer validates their Order as follows:

• any validation of the Order by the Customer constitutes acceptance of the price and characteristics of the selected Services;
• any validation of the Order by the Customer constitutes irrevocable acceptance of these General Conditions by the Customer.
  The Customer proceeds to pay for their Order and within forty-eight (48) hours from payment receives an email issued by Quizz Room confirming or denying their Order; denial is an exceptional case.
  The sale is considered final after:
• confirmation of the Order by Quizz Room;
• full payment received by Quizz Room, which reserves the right to suspend or refuse the Customer's Order in the event that the charge was not possible.
  For any questions related to the follow-up of their Order, the Customer must directly contact the Seller.

PAYMENT TERMS FOR ORDERED SERVICES
Upon validation of the Order by the Customer, the full price is due by the Customer to Quizz Room.
The Customer must pay online for the Services using one of the following options: Visa credit card, Mastercard, American Express card.
The transaction and collection of the price of Orders made via the Site are carried out via the payment provider Clover, and all Customers are invited to consult the General Conditions of Use of Clover. Payments must be approved by the financial institution that issued the credit card. The Customer must be legally authorized to use the card that will be used to pay for the Order. Quizz Room guarantees that it does not collect any banking data of Customers. In the case where the Service offered to the Customer does not benefit from chargeback and the Consumer Protection Act (RLRQ c. P-40.1) applies, Quizz Room commits not to charge the Customer until the Service has been provided.
Customers cannot pay for their Order in installments. All payments must be made in full and in a single installment.

PROOF OF TRANSACTIONS
The online provision of the Customer's credit card number and the final validation of the Order will constitute proof of the Customer's agreement on:

• the payability of sums due under their Order;
• all operations performed on the Site.
  Moreover, the computerized records kept in the computer systems of Quizz Room and its partners under reasonable security conditions will be considered as proof of communications, orders, and payments made between the parties.
  The archiving of purchase orders is carried out on a reliable and durable medium that can be produced as evidence.

ACCESS TO THE ROOMS
Access to the Rooms reserved by the Customer is subject to the full and prior payment of the Order. Access to the Rooms is prohibited for Participants under thirteen (13) years of age not accompanied by an adult who is also a Participant. The delay of one or more Participants has no effect on the schedule and duration of the availability of the reserved Rooms: they cannot be delayed or extended beyond the limits set by the Order, and the Room must thus be vacated at the initially set time; after a delay of fifteen (15) minutes, the availability of the Room's facilities and the duration of the game will necessarily be reduced. The materials and furniture located in the establishments of Quizz Room are made available to Participants and the Customer, subject to fair and careful use without any degradation or damage being inflicted.

INTRODUCING ALCOHOLIC OR NON-ALCOHOLIC BEVERAGES INTO THE ROOM IS PROHIBITED.
Quizz Room reserves the right to refuse access to the Rooms in the event that at least one (1) Participant is intoxicated or under the influence of illegal substances or has threatening, aggressive, or violent behavior.

MODIFICATION OF THE RESERVATION
Except in the case where it is exclusively attributable to Quizz Room and except as provided by the Consumer Protection Act (RLRQ c. P-40.1), the cancellation of the Order is impossible, and the absence of Participants at the date and time of the Room's availability does not give rise to a refund of the sums paid in exchange for the Order of Services. The Customer has the option to modify the date and time of the reservation free of charge up to five (5) days before the actual availability of the Room(s) by clicking on the link provided for this purpose in the confirmation email of the Order issued by Quizz Room or by contacting Quizz Room at the number: [INSERT CANADIAN PHONE NUMBER]; beyond the aforementioned period, no modification is possible. The reduction in the number of Participants has no consequence on the initial amount of the Order, and Quizz Room will not be able to refund to the Customer the sums they initially paid; however, the Customer will be compensated by the granting of a voucher valid for six (6) months and whose amount corresponds to the difference between the total price of the initial Order and the sum of the price per present Participant according to the scale of Article VII. 5 above. To be valid, the purchase voucher must be requested by the Customer before the expiration of a period of five (5) days from the date of the actual availability of the Room at the following address: [X] The increase in the number of Participants is possible at any time, subject to the execution of the payment obligation provided for in Article VII. 5. d., and within the limit of:

• Eighteen (18) Participants in the case of making one (1) Room available;
• Thirty-six (36) Participants in the case of making two (2) Rooms available;
• Twenty-six (26) Participants in the case of making the Lounge available;

• Thirty (30) Participants in the case of making the Bordeaux Lounge available;

• Beyond the aforementioned limits, Quizz Room reserves the right to refuse access to the Rooms to certain Participants. The cancellation of the Customized Questions service is impossible, and except for failure directly and exclusively attributable to Quizz Room, non-communication by the Customer of the Customized Questions does not give rise to a refund of the sums paid in exchange for the purchase of this service.

OFFERS AND GIFTS
At the end of the availability of a Room and the use of the game proposed by Quizz Room, the Participant declared the winner of the game benefits from a voucher worth twenty dollars ($20.00), valid for three (3) months from the first day of the month following the month during which the Room was made available to the Customer. The voucher is obtained by the issuance by Quizz Room of a specific email for this purpose, or, failing that, by a request for obtaining issued by any means by the Participant declared the winner within seven (7) days following the actual availability of the Room.

LIABILITIES
Only facts directly attributable to Quizz Room can engage its liability towards the Customer or Participants, provided they cause them direct harm. Quizz Room's liability cannot be held in the event the non-performance or poor performance of its obligations is attributable to:

• improper use of the Room and its functionalities by the Customer or any Participant;
• a fault attributable to the Customer or any Participant;
• a case of force majeure, that is, an event beyond the parties' control, unpredictable and unstoppable such as natural disasters, bad weather, fires, epidemic, floods, avalanches, land sliding or subsidence, strikes, sabotage, embargo, interruptions or delays in transport or means of communication, war, pandemic, or an administrative closure of the Quizz Room establishment where the game was supposed to take place;

• a technical failure of the game making it impossible for all participants to use it;
• inconveniences inherent to the use of the internet network – such as an interruption or break in service, external intrusion, or the presence of computer viruses.

In the event that the availability of a Room and the use of the game by all Participants would become impossible following a case of force majeure, Quizz Room commits to rescheduling the execution of the Services ordered without fees within three (3) months following the initial availability date of the Room ("Deferral Period"). At the end of the Deferral Period, if the new dates proposed by Quizz Room are not suitable for the Customer, and provided that the Customer has sent a request for deferral covering at least ten (10) new dates within the Deferral Period, Quizz Room will proceed with the refund of the sums initially paid by the Customer.

CUSTOMIZED QUESTIONS SERVICE:

• Only the Customer can be held responsible for the content of the Questions submitted to Quizz Room;
• The Customer and Participants release Quizz Room from all liability in the event that these Customized Questions would cause harm of any nature to any Participant or third party;
• Quizz Room reserves the right not to broadcast the Customized Questions whose content is manifestly illegal or violates good morals, and this decision cannot justify a refund of the sums paid by the Customer in exchange for the Customized Questions service.

The Customer obliges to indemnify and hold Quizz Room harmless against any liability, recourse, and all claims related to the Services ordered by the Customer and whose non-execution would be attributable to them.

The Customer guarantees the fair use of leisure equipment by all Participants and indemnifies Quizz Room against any degradation or damage of any nature to goods, equipment, materials, and persons caused by any Participant during the execution of the Services; the Customer cannot in any way oppose Quizz Room the absence of a hierarchical link or contractual relationship with a Participant to exempt themselves from the obligations charged to them.

In case of degradation caused by one or more Participants related to the Customer's Order to the goods or equipment belonging to Quizz Room establishments, the repairs will be evaluated and notified to the Customer within sixty (60) days; the Customer will have a period of fifteen (15) days from the notification issued by Quizz Room to settle the payment of the cost of repairs without delay of recourse to insurance.

In case of delay or default of payment, the Customer will owe a lump sum compensation for recovery costs in the amount of forty dollars ($40.00) automatically and without prior notice – in addition to the amount of the sum due increased by late interest rates.

INTELLECTUAL PROPERTY
The content of the Site as well as the products and representations appearing within the premises of Quizz Room (technical documents, drawings, photographs, etc.) are protected by copyright, trademarks, or patents.

The Customer and Participants undertake not to make any non-personal use of this content without prior agreement from Quizz Room.

Any total or partial reproduction of this content without Quizz Room's prior authorization is strictly prohibited and may contravene laws including those relating to trademarks or copyright, and could expose the Customer or Participant to legal proceedings.

The content of the Customized Questions remains the property of the Customer, who is deemed to be the author; Quizz Room commits to exercising only a right of punctual diffusion strictly limited to the duration of the actual availability of the Room; within a reasonable period following the expiration of the Room's availability duration, Quizz Room commits to deleting the content of these Customized Questions from its databases.

PERSONAL DATA
The personal data provided by the Customer during the Order is necessary for processing the Customer's Order and for the issuance of invoices.

The personal data of the Customer that they provide to Quizz Room may be transferred to and accessed by an affiliated company or by agents and subcontractors providing services to Quizz Room and may be located in Canada or elsewhere.

They are subject to computer processing.

The Customer is invited to consult the Site's Privacy Policy to learn all the information related to this subject.

MEDIATION
The parties agree to jointly designate and resort to a mediator in the event of a dispute concerning the execution, application, or interpretation of this agreement before any legal action.

ENTIRE AGREEMENT

If in any jurisdiction one of these General Conditions or their application to a party or circumstance is limited, prohibited, or unenforceable, that provision will be ineffective in that jurisdiction only to the extent of that limitation, prohibition, or unenforceability without invalidating the other conditions and without affecting the validity or applicability of that provision in any other jurisdiction or affecting its application to other parties or circumstances.

MISCELLANEOUS
Any notification interrupting a period is deemed for this purpose at the time of its dispatch.

APPLICABLE LAW AND COMPETENT JURISDICTION
Any Contract resulting from these General Conditions will be treated in all respects as a distance selling contract governed by the laws of the province of Quebec, regardless of the principles of conflict of laws.
The General Conditions are governed by the laws of the province of Quebec and the laws of Canada applicable therein and must be interpreted in accordance with their provisions.
Notwithstanding any jurisdictional provision and applicable law, if the Customer is a consumer as defined by the Consumer Protection Act (RLRQ c. P-40.1), then any dispute relating to these general conditions will be governed by the applicable law in the province of Quebec and must be brought before the competent court in accordance with the rules of the Quebec Code of Civil Procedure (RLRQ c. C-25.01).

Quizz Room offers for sale reservation services and the provision of leisure rooms ("Services") at set prices to legal entities acting within the scope of their corporate purpose ("Companies") in order to conclude service provision contracts ("Contracts").

PURPOSE:
These General Sales Conditions ("General Conditions" or "GSC") aim to define the rights and obligations of the Companies and Quizz Room under the Contracts:

• These General Conditions may be amended at any time by Quizz Room;
• They apply from their communication by any means to the Companies, but their possible modifications will not apply to transactions already in progress;
• A transaction is in progress as long as the offer issued by Quizz Room is firm and definitive according to the terms provided in Article VI. 5 below.

OFFER OF CUSTOMIZED SERVICES FOR COMPANIES:
At the times indicated by the Company and depending on the number of individuals ("Participants") chosen by it to participate in the Services offered by Quizz Room, the latter offers for sale customized reservation services and the provision of leisure rooms including the ability to use a question and answer game whose main characteristics are as follows:

• Immersion of the Participants in a television set decor;
• Audiovisual communication of questions to the game Participants;
• Provision of buzzers allowing the Participants to answer the questions;
• Automatic counting of each Participant's points;
• Access to jokers allowing to modify the course of the games.
  Besides the reservation and provision of leisure rooms, Quizz Room offers for sale additional service provisions determined according to criteria indicated by the Company and according to the availability of the offer proposed by Quizz Room including but not limited to:
• Ordering a drink and meal supply service provided by Quizz Room or by any third party it may substitute, and made available to the Company within Quizz Room's premises;
• Customization of the questions offered according to the Company's instructions;
• Supply of access to leisure activities programmed by Quizz Room at any location indicated by the Company, subject to compatibility with the main characteristics of the game;
• Filming of an audiovisual program within Quizz Room's premises.
  The above list is not exhaustive, and the offer of Services agreed between Quizz Room and the Company is specified in the personalized Quote ("Quote") previously provided by Quizz Room to the Company.
  The Services sold by Quizz Room comply with the prescriptions of Quebec and Canadian law in force relating to the safety and health of persons, the fairness of commercial transactions, and consumer protection at the time of their marketing.
  For the execution of the Services, the Company undertakes to communicate in advance to the occupation of the rooms made available to it the identity of each of the Participants in accordance with Article XIII below.

SERVICE PRICING:
The price of the Services offered for sale by Quizz Room is freely set by the latter in compliance with applicable laws and regulations.
Quizz Room reserves the right to change its prices at any time but commits to maintaining the rates indicated in the Quote as long as the offer issued by Quizz Room is firm and definitive according to the terms provided in Article VI. 5 below.
The sale price of the Services established by Quizz Room based on criteria indicated by the Company cannot be determined in advance and is subject to a detailed Quote by Quizz Room, possibly accompanied by Special Conditions that will take precedence over the General Conditions.
The sale price of the Services included in the quote depends on the choices of the Company, notably:

• the number of Participants;
• the duration of room occupancy;
• the number of rooms reserved;
• the reservation of the reception lounge;
• the use or not of the question customization service;
• each of the services to be provided on behalf of the Company.
  The Service prices are stated in Canadian dollars. Prices are set excluding taxes as in force on the order date: any creation or modification of taxes, regardless of their nature or amount, will be applied to the Contracts, including for ongoing orders, as soon as it comes into effect.

QUOTE:
Ordering any Service on behalf of a Company is made by an express request for a Quote addressed to Quizz Room:

• via the Site;
• by phone at 01 42 03 68 34;
• by mail by sending a request to contact@quiz-room.com.
  To obtain a Quote, the Company must indicate the name, first name, email address, and role of the representative through whom the Quote is requested, as well as the legal name of the Company, the desired date for the availability of the room(s), and the number of participants.
  The quote request is processed by Quizz Room, which commits to responding within two (2) business days; in addition to the information indicated during the quote request, Quizz Room reserves the right to request additional information to establish a Quote.
  Quizz Room communicates a detailed Quote to the Company including the essential characteristics of each of the Services to be executed as well as their price – in addition to the General Conditions.
  Unless otherwise stated on the Quote, it is a firm and final offer valid:
• five (5) days from the date of communication of the Quote appearing on it if the room availability to the Company is to occur after the expiration of a twenty (20) day period from the communication of the Quote;

• two (2) business days from the date of communication of the Quote appearing on it if the room availability to the Company is to occur before the expiration of a twenty (20) day period from the communication of the Quote.

• Until the day of the rooms' availability if the Quote is requested and transmitted less than two (2) days before the actual availability of the rooms.

ACCEPTANCE OF THE QUOTE:
The Company communicates to Quizz Room the signed Quote by any means. The communication by the Company of the signed Quote, or failing that, the partial or total payment by the Company, constitutes validation of the Quote's content and constitutes a Contract:

• any validation of the Quote by the Company constitutes acceptance of the price, descriptions of the Services sold, and their execution date;
• any validation of the Quote by the Company constitutes irrevocable acceptance of the General Conditions by it;
• any validation of the Quote by the Company obliges it to pay the full price.
  Cancellation by the Company of its reservation as well as the absence or delay of one or more Participants does not release the Company from its payment obligation, to which it remains fully liable.
  Any validation of the Quote after the deadlines referred to in Article VI. 5 may be accepted by Quizz Room by any means, thus covering the expiry of the offer.
  The sale is considered final after Quizz Room has received full payment, although it reserves the right to suspend the Company's order if the debit was not possible.
  For any questions related to the follow-up of its order, the Company must directly contact Quizz Room by any means described in Article VI. 1.

PAYMENT TERMS FOR SERVICES BY THE COMPANY:
Payment of the total price is due by the Company upon its validation of the Quote and constitutes a condition of access to the rooms.
In the case of a Quote issued by Quizz Room more than fifteen (15) days before the actual availability of the leisure room, the Company must pay Quizz Room fifty percent (50%) of the sale price within seven (7) days from the acceptance of the Quote, and the balance will be paid at the latest on the day of the room's availability.
In the case of a Quote issued by Quizz Room less than fifteen (15) days before the actual availability of the leisure room, the Company must make full payment of the sale price at the latest three (3) days before the effective availability of the room.
The Company must pay Quizz Room by electronic payment (bank transfer, Visa or Mastercard credit card, American Express card) or, failing that, by cheque.
Access to the game room is conditioned upon the full payment of the amount provided in the Quote.

PROOF OF TRANSACTIONS:
The execution of an electronic payment, an Interac transfer, or the issuance of a cheque by the Company, or the signing of the Quote by any agent of it, will constitute proof of the Company's agreement on the enforceability of the sums due under the Quote.
However, in case of fraudulent use of its credit card, the Company is invited to contact Quizz Room's client service by email or phone at the coordinates indicated in Article VI. 1 as soon as this use is observed.
Moreover, the computerized registers kept in the computer systems of Quizz Room and its partners under reasonable security conditions will be considered as proof of communications, orders, and payments made between the parties. The archiving of Quotes is carried out on a reliable and durable medium that can be produced as evidence.

EXCLUSION OF THE RIGHT OF WITHDRAWAL:
The Services provided by Quizz Room are personalized by the Company and established according to criteria clearly indicated by it. The Company cannot retract once the Quote is accepted by it.

POSTERIOR MODIFICATIONS TO THE QUOTE:
A. Date of Availability of the Game Rooms
The date of availability of one or more game rooms cannot be changed by the Company less than seven (7) days before its use.
The postponement by the Company of the date of availability of one or more game rooms is possible if notified more than seven (7) days before the event date:

• in exchange for a sum of two hundred sixteen dollars ($216.00) excluding tax per room if notified less than fifteen (15) days before the event date;
• free of charge if notified more than fifteen (15) days in advance.
  In case of force majeure as specified in Article XII. 6 below, the postponement of the date of availability of one or more rooms is possible without fees.

B. Number of Participants
If notified by the Company more than seven (7) days before the event, the reduction in the number of Participants leads to a reduction in the price of making one or more rooms available, without the reduced price being able to be lower than:

• the price for making a room available for eight (8) Participants in the case of an initial reservation of one (1) room;
• the price for making two (2) rooms available for nineteen (19) Participants in the case of an initial reservation of two (2) rooms;
  Past the aforementioned deadline, the reduction in the number of Participants has no consequence on the initial amount of the Quote, which the Company must fully settle.
  The increase in the number of Participants is possible at any time, within the limit of:
• Eighteen (18) Participants in the case of making one (1) room available;
• Thirty-six (36) Participants in the case of making two (2) rooms available;
• Twenty-six (26) Participants in the case of making the Salon available.

LIABILITY:
Only facts directly attributable to Quizz Room can engage its liability towards the Company, provided they cause direct harm to it.
Quizz Room's liability cannot be held in the event the non-performance or poor performance of its obligations is attributable to:

• improper use of the leisure room and its features by the Company or any Participant;
• a fault attributable to the Company or a Participant;
• a failure in the obligation to communicate information charged to the Company in Articles IV. 4 and XIV. 3 above;
• a case of force majeure, i.e., an event beyond the parties' control, unpredictable and insurmountable such as natural disasters, bad weather, fires, epidemics, floods, avalanches, land sliding or subsidence, strikes, sabotage, embargo, interruptions or delays in transport or means of communication, war, pandemic, or an administrative closure of Quizz Room's establishment where the game was to take place;
• a technical failure of the game making it impossible for all participants to use it;
• inconveniences inherent to the use of the internet network - such as an interruption or break in service, external intrusion, or the presence of computer viruses.
  The Company is obliged to indemnify and hold Quizz Room harmless against any liability, recourse, and all claims related to the Services ordered by the Company and whose non-performance is attributable to it.
  Except for damages exclusively attributable to Quizz Room, the Company indemnifies and holds Quizz Room harmless against any liability, recourse, and all claims arising from one or more Participants.
  The Company guarantees the fair use of leisure equipment by all Participants and indemnifies Quizz Room against any degradation or damage of any nature to goods and persons inflicted by any Participant during the execution of the Services; the Company cannot in any way oppose Quizz Room the absence of a hierarchical link or contractual relationship with a Participant to exempt itself from the obligations charged to it.
  In the event that the provision of a room and the use of the game by all Participants become impossible following a case of force majeure, Quizz Room commits to rescheduling the execution of the Services ordered without fees; in the event the Parties fail to agree on a postponement of the provision of the Services, the Company may by registered letter with acknowledgment of receipt request the reimbursement of sums paid to Quizz Room.
  In case of delay or default of payment and after an unsuccessful notice of default for fourteen (14) days, the Company will be required to pay Quizz Room the sum of six hundred dollars ($600.00) excluding taxes as damages and lump-sum indemnity – in addition to the amount of claims due increased by the legal interest rate.
  In case of delay or default of payment, the Company will owe a lump sum compensation for collection costs in the amount of forty dollars ($40.00) automatically and without prior notice.

INTELLECTUAL PROPERTY:
The content of the Site, as well as the products and representations depicted within the premises of Quizz Room (technical documents, drawings, photographs, etc.), are protected by copyright, trademarks, or patents.
The Company agrees not to use this content and guarantees Quizz Room against any illicit use made by one of the Participants.
Any total or partial reproduction of this content is strictly prohibited and may infringe on laws including those relating to trademarks or copyright and could expose the Company or Participant to legal proceedings.

PERSONAL DATA:
The personal data provided by the Company to Quizz Room are necessary for processing its order and for the issuance of invoices.
The personal data of the Participants that the Company provides to Quizz Room may be transferred to and accessed by an affiliated company or by agents and subcontractors providing services to Quizz Room and may be located in Canada or elsewhere.
The personal data are subject to computer processing.
The Company is responsible for collecting the consents of the Participants to the collection of their personal data on one hand and to their transfer to Quizz Room on the other hand.
Quizz Room guarantees that the processing it does of the personal data of the Participants is in compliance with its Privacy Policy.
The Company and the Participants covered by it are invited to consult the Site's Privacy Policy to learn all the information related to this subject.

ENTIRETY:
If in any jurisdiction one of these General Conditions or their application to a party or circumstance is limited, prohibited, or unenforceable, that provision will be ineffective in that jurisdiction only to the extent of that limitation, prohibition, or unenforceability without invalidating the other conditions and without affecting the validity or applicability of such provision in any other jurisdiction or affecting its application to other parties or circumstances.

MEDIATION:
For any dispute, in case of failure or in the absence of a response from Quizz Room after a two-month period before resorting to the courts, the Parties commit to jointly designating and resorting to a mediator in the event of conflict concerning the execution or interpretation of these GSC.

MISCELLANEOUS:
Any notification interrupting a deadline is deemed to be such at the time of its dispatch.
Any notification initiating a deadline is deemed to be such at the time of its receipt.
Unless otherwise provided, any notification is made by registered letter with acknowledgment of receipt.

APPLICABLE LAW AND COMPETENT JURISDICTION:
The General Conditions are governed by the laws of the province of Quebec and the laws of Canada applicable therein and must be interpreted in accordance with their provisions.
Any dispute relating to the validity, interpretation, execution, termination, consequences, and aftermath of the General Conditions will be submitted to the competent courts of the province of Quebec.
